IMPORTANT LEGAL NOTICE: THIS AGREEMENT CONTAINS MANDATORY ARBITRATION PROVISIONS, A WAIVER OF JURY TRIALS, AND A WAIVER OF CLASS ACTIONS FOR CERTAIN JURISDICTIONS. PLEASE READ IT CAREFULLY.
1. INTRODUCTION AND ACCEPTANCE
1.1 Agreement Formation
These User Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "Viewer") and CloseCircle ("Company," "we," "us," or "our").
By creating a user account, purchasing tickets, accessing live events, or otherwise utilizing CloseCircle's platform services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree with any provision of these terms, you must immediately cease all use of our platform and services.
1.2 Contracting Entity & Jurisdiction
The specific CloseCircle entity you are contracting with, and the laws that govern this agreement, depend on your permanent residence:
- For Users in the European Union (EU):
- Entity: CloseCircle s.r.o. (Czech Republic, ID: CZ23109777), Na Malé Šárce 801, Nebušice, 164 00 Praha.
- Governing Law: Laws of the Czech Republic and applicable EU regulations (Digital Services Act, GDPR, Consumer Rights Directive).
- For Users in the US, UK, Switzerland, and Rest of World:
- Entity: CloseCircle US Inc. (Delaware C-Corp), 131 Continental Dr, Suite 305, Newark, DE 19713.
- Governing Law: Laws of the State of Delaware, United States.
1.3 Platform Service Description
CloseCircle operates as a neutral technology platform and interactive computer service provider. We provide the technical infrastructure (streaming, ticketing, chat) for independent Content Creators to broadcast to audiences. We act as the Merchant of Record for transactions but do not create the content.
1.4 No Editorial Control (Liability Shield)
- For US/Rest of World: We rely on the protections afforded to interactive computer services under Section 230 of the Communications Decency Act, which generally shields platforms from liability for user-generated content.
- For EU Users: We operate as a "Hosting Service Provider" under Article 14 of the e-Commerce Directive (2000/31/EC) and the Digital Services Act (Regulation EU 2022/2065). We maintain a passive role and are not liable for information stored at the request of a Creator unless we have actual knowledge of illegal activity and fail to remove it.
1.5 Beta Services
From time to time, we may test new features or services that are labeled as "Beta," "Preview," or "Experimental." You acknowledge that these features may not be fully reliable, may contain bugs, and may cause system failures. We have no liability for any data loss or damage arising from your use of Beta features.
2. ELIGIBILITY AND ACCOUNT REQUIREMENTS
2.1 Age and Legal Capacity
To use the Platform, you must be at least fifteen (15) years of age.
- Users between 15 and the age of majority (usually 18) may use the Platform only with the supervision and consent of a parent or legal guardian who agrees to be bound by these terms on the minor's behalf.
- Enhanced Verification: CloseCircle reserves the right to require age verification (government ID), identity verification, and other documentation at any time. Failure to provide satisfactory verification will result in immediate account suspension or termination without refund.
2.2 Account Security
You are solely and absolutely responsible for maintaining the security and confidentiality of your user account credentials and for all activities that occur under your account. CloseCircle shall have no liability regarding unauthorized access to your account.
3. SANCTIONS, AML & FINANCIAL COMPLIANCE
3.1 Prohibited Jurisdictions (Sanctions Compliance)
By using the Platform, you represent and warrant that you are not located in, under the control of, or a national or resident of any prohibited jurisdiction. We strictly prohibit business with the following jurisdictions:
- Afghanistan, Belarus, Central African Republic, Crimea/Sevastopol, Cuba, Democratic Republic of Congo, Donetsk/Luhansk regions of Ukraine, Ethiopia, Iran, Libya, Mali, Myanmar (Burma), North Korea, Russia, Somalia, South Sudan, Sudan, Syria, Venezuela, Yemen, Zimbabwe.
- You represent you are not listed on any government prohibited parties list (e.g., OFAC Specially Designated Nationals, EU Consolidated List).
3.2 Anti-Money Laundering (AML) & Financial Crimes
To prevent financial crime and comply with global regulations, you strictly may NOT:
- Money Laundering: Use the platform to transfer funds for illicit purposes or to disguise the origin of funds.
- Structuring: Use "Tips" or "Virtual Currency" to move money between accounts for non-consumptive purposes (e.g., buying your own tickets to cash out funds).
- Stolen Funds: Use stolen credit cards, compromised payment methods, or funds derived from criminal activity.
- Circumvention: Attempt to bypass our fraud detection or KYC (Know Your Customer) measures.
CloseCircle monitors transactions for suspicious activity. We reserve the right to freeze funds, suspend accounts, and report suspicious activity to relevant financial intelligence units (e.g., FinCEN, EU FIUs) without notice to you.
3.3 Tipalti Integration
For Creators receiving payouts, you acknowledge that we utilize Tipalti for comprehensive identity verification and sanctions screening. You must comply with all Tipalti requirements to receive funds. Tipalti's terms of service regarding payouts supersede these terms where applicable.
4. TICKET PURCHASES AND PAYMENT TERMS
4.1 Final Sale Policy
ALL TICKET PURCHASES ARE FINAL SALES.
- For US/Rest of World Users: No refunds will be provided for any reason, including user cancellation, failure to attend events, dissatisfaction with content, or technical difficulties on the user's end.
- For EU Users: In accordance with Article 16(l) of the EU Consumer Rights Directive (2011/83/EU), the right of withdrawal (14-day cooling-off period) DOES NOT APPLY to contracts for leisure activities if the contract provides for a specific date or period of performance. Therefore, ticket purchases for live events are non-refundable once confirmed.
4.2 Virtual Items, Tips, and Currency
If you purchase virtual items, points, or send "Tips/Donations" to a Creator:
- No Refunds: All tips and virtual item purchases are final and non-refundable.
- No Ownership: You do not own virtual items; you hold a limited, revocable license to use them on the platform.
- Value Modification: CloseCircle reserves the absolute right to manage, regulate, control, modify, or eliminate virtual items/currency at any time, with or without notice. CloseCircle shall have no liability to you or any third party in the event that we exercise any such rights.
4.3 Chargebacks & Payment Disputes
If you initiate a chargeback, credit card dispute, or PayPal dispute for a valid purchase:
- Account Ban: Your account will be immediately and permanently banned.
- Cost Recovery: You agree to pay CloseCircle the full amount of the chargeback PLUS any administrative fees levied by our payment processor (e.g., Stripe Dispute Fee, typically $15-$25 USD).
- Collections: We reserve the right to send unpaid debts to a third-party collections agency, which may impact your credit score.
4.4 Refund Exceptions & Timeline
Refunds are provided ONLY in the following limited circumstances:
- Creator Cancellation: Automatic full refund if the Creator cancels the event.
- Rescheduling: Full refund if the Creator changes the date/time and you cannot attend.
- Platform Failure: Discretionary refund if a catastrophic technical failure of the CloseCircle infrastructure (not your internet) prevents the event from broadcasting.
- Processing Time: Approved refunds will be processed within fourteen (14) business days.
5. USER CONDUCT, CONTENT & SAFETY POLICY
5.1 Safe-For-Work (SFW) Policy
CloseCircle is a strictly Safe-For-Work (SFW) platform. This policy applies to all User Generated Content, including your username, profile picture, bio, chat messages, and any content you upload. The following is strictly prohibited:
- Adult & Sexual Content: Any content of a sexual nature, including nudity, partial nudity, sexual performances, adult entertainment, or sexually suggestive content.
- Child Safety: Any content that endangers or exploits minors (CSAM), grooming, or sexualization of minors. We report all instances of CSAM to NCMEC and law enforcement immediately.
- Hate Speech: Content promoting violence, discrimination, or hatred against individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic.
- Harassment & Cyberbullying: Abusive language, stalking, encouraging others to harass.
- Doxxing: Publishing private or identifying information about another person without their specific authorization.
- Self-Harm: Content glorifying suicide, self-injury, or eating disorders.
- Violence & Gore: Graphic violence, mutilation, or content promoting terrorist acts or violent extremism.
- Illegal Goods: Promotion of firearms, illegal drugs, alcohol, tobacco, or regulated goods.
- Animal Cruelty: Any depiction of animal abuse or neglect.
5.2 Prohibited Technical Activities
- AI Scraping: You strictly may not use bots, spiders, or scrapers to access Creator content for the purpose of training Artificial Intelligence (AI) or Machine Learning models.
- Simulcasting/Restreaming: You may not rebroadcast, "restream," or simulcast any Creator event to another platform (e.g., Twitch, YouTube, Discord).
- Automation: Using bots to inflate viewer counts or spam chat.
5.3 Immediate Enforcement
CloseCircle reserves the absolute right to remove users from events, suspend accounts, or terminate users immediately for any conduct violations, without warning or appeal rights.
6. HEALTH & SAFETY WARNINGS
6.1 Photosensitivity Warning & Waiver
A very small percentage of individuals may experience epileptic seizures when exposed to certain visual images, including flashing lights or patterns that may appear in live streams. Even people who have no history of seizures or epilepsy may have an undiagnosed condition. If you experience dizziness, altered vision, eye or muscle twitches, loss of awareness, disorientation, any involuntary movement, or convulsions while watching, discontinue use IMMEDIATELY and consult a physician.
Waiver: By using the Service, you voluntarily assume all risks associated with photosensitivity and agree that CloseCircle is not liable for any seizures or other symptoms you may experience.
7. INTELLECTUAL PROPERTY & CONTENT REPORTING
7.1 Platform Ownership
All platform technology, software, algorithms, user interfaces, and analytics data are owned exclusively by CloseCircle.
7.2 Creator Content Rights
Creators retain ownership of their original content. Buying a ticket grants you a limited license to view the content LIVE. You may NOT record, reproduce, screenshot, or distribute any creator content.
7.3 Unsolicited Feedback
If you provide us with any feedback, feature requests, or ideas ("Feedback"), you grant CloseCircle a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, and commercialize such Feedback without any compensation to you.
7.4 DMCA / Copyright Policy (US Safe Harbor)
If you believe your work has been copied in a way that constitutes copyright infringement, please provide our Copyright Agent with: (1) Signature of owner; (2) Description of work; (3) Location (URL); (4) Your contact info; (5) Statement of good faith belief.

7.5 EU Digital Services Act (DSA) Reporting
For users in the EU, if you identify illegal content (e.g., hate speech, terrorist content) that is NOT copyright related, you may report it via our "Report" button on the stream or email:

We will review such reports and take action if the content is found to violate EU law or our policies.
8. INDEMNIFICATION
8.1 Comprehensive Indemnification
You agree to indemnify, defend, and hold harmless CloseCircle, its officers, directors, employees, agents, affiliates, successors, and assigns (the "Indemnified Parties") from and against any and all claims, demands, actions, suits, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
(a) User's use of the Platform or violation of these terms;
(b) User's conduct during events or interactions with creators;
(c) User's violation of any applicable laws, regulations, or third-party rights;
(d) Any claims by creators or third parties related to user conduct;
(e) Any payment disputes, chargebacks, or financial claims related to user purchases;
(f) Any privacy, defamation, or other personal rights violations by user;
(g) Any regulatory violations or compliance failures by user; and
(h) Any other claims, damages, or liabilities arising from user's relationship with CloseCircle.
This indemnification obligation is absolute, unlimited, and survives the termination of your account.
9. LIMITATION OF LIABILITY
9.1 For US/Rest of World Users (Delaware Law)
THE CLOSECIRCLE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOSECIRCLE'S TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE LESSER OF: (A) FIFTY DOLLARS ($50.00 USD) OR (B) THE TOTAL AMOUNT PAID BY YOU TO CLOSECIRCLE IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
Exclusion of Damages: CloseCircle shall have no liability for any indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, loss of data, or reputational harm.
9.2 For EU Users (Specific Liability Cap)
CloseCircle’s total liability to users for any and all claims, damages, losses, or expenses arising from or related to platform usage, event access, or these terms shall not exceed the lesser of:
- (a) Twenty-five euros (€25.00); OR
- (b) The total amount paid by the user to CloseCircle in the three (3) months preceding the claim.
We do not exclude liability for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation.
Business Loss Exclusion: We only supply the Services for domestic and private use. If you use the Services for any commercial, business or re-sale purpose we will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.
9.3 Force Majeure (Events Beyond Our Control)
CloseCircle shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to: acts of God, war, strikes or labor disputes, embargoes, government orders, denial of service (DDoS) attacks, failure of the internet or hosting providers (e.g., AWS outages), or power failures.
10. DELAWARE CORPORATE PROTECTIONS (US ENTITY)
10.1 Officer Exculpation
In accordance with Delaware General Corporation Law Section 102(b)(7), as amended, CloseCircle's certificate of incorporation includes provisions eliminating or limiting the personal liability of CloseCircle's officers and directors for monetary damages for breaches of the fiduciary duty of care.
10.2 Business Judgment Rule
Users acknowledge that CloseCircle's business decisions—including platform policies, enforcement actions, pricing decisions, and strategic decisions—are protected by Delaware's Business Judgment Rule, which presumes that directors and officers act in good faith and in the best interests of the corporation.
11. ACCESSIBILITY (EU USERS)
11.1 European Accessibility Act Compliance
CloseCircle is committed to ensuring platform accessibility in accordance with the European Accessibility Act (Directive EU 2019/882). We strive to make our platform usable by individuals with disabilities through appropriate technical design.

- We provide reasonable accommodations to ensure equal access, though we cannot guarantee the accessibility of third-party Creator content.
12. DISPUTE RESOLUTION AND LEGAL WAIVERS
12.1 For US/Rest of World Users: Mandatory Arbitration
WAIVER OF JURY TRIAL: TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU HEREBY WAIVE YOUR RIGHT TO A JURY TRIAL IN ANY LEGAL PROCEEDING.
Class Action Waiver: You agree to resolve disputes only on an individual basis and waive any right to participate in a class action or collective proceeding.
Arbitration: All disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
Venue: Any disputes not subject to arbitration shall be resolved exclusively in the state or federal courts located in Delaware.
12.2 For EU Users: Jurisdiction & ADR
These terms are governed by the laws of the Czech Republic. Any disputes arising from these terms shall be subject to the jurisdiction of the courts of the Czech Republic.
- Alternative Dispute Resolution: Disputes that cannot be resolved internally may be referred to the EU Online Dispute Resolution (ODR) platform: ec.europa.eu/consumers/odr.
13. GENERAL PROVISIONS
13.1 Modifications
CloseCircle may modify these terms at any time. For material changes, we will provide reasonable notice (e.g., via email or platform notification). Continued use constitutes acceptance of modifications.
13.2 Entire Agreement
These terms constitute the entire agreement between you and CloseCircle regarding the platform and supersede all prior agreements.
